The Current Micro++ Structure

At this point, Micro++ in an "incubator fund," structured with two separate entities:

1. MPP Capital Partners LP, a limited partnership, which serves as the fund
2. Micro++ Investment Management, LLC, a limited liability company, which serves as the managing member of the fund.

While the initial funding of the MPP CP portfolio occurred at the end of 2011, during this incubation period, we cannot market interests in the fund or accept capital from outside investors.

Having developed a strong, real-time record since inception, we soon intend to launch the fund for qualified outside investors, based on a private offering memorandum, partnership agreement, and subscription documents.
